Terms and Conditions of Use
Payment Terms
An invoice will be issued upon application installation and/or generation of event key(s). This invoice will include the Setup fee, Registration Fees as well as any Professional Services that have been performed. Terms are Net 15.
Privacy & Intellectual Property
The Customer is the exclusive owner of the data contained within the application’s database (for example: repository data, contact lists, and so on) and can request a copy of the content of the application’s data base at any time. Go Big Event and Carosch have no right to use or duplicate the data in any way, other than in support of system administration tasks (for example: system backup). Further, Go Big Event and Carosch will follow industry standards and take all appropriate, reasonable steps to maintain the security of the data and protect it from unauthorized access from those both internal and external to Go Big Event and Carosch. Go Big Event & its licensor retain all intellectual property and ownership rights to the application and the technologies used to build and operate the application.
Indemnity
Each party will indemnify and save harmless the other from and against all liability to third parties for death, personal injury or physical damage to tangible property (including, but not limited to claims, losses, damages, judgments, costs, expenses, actions and other proceedings made, incurred, sustained, brought, prosecuted, or threatened to be brought or prosecuted for such liability) to the extent that such liability is caused or contributed to by the negligence of the indemnifying party, its members, officers, employees, servants, agents, arising out of this Contract/Agreement. Nothing in the foregoing or otherwise in this Contract/Agreement will require Go Big Event or Carosch to indemnify the customer with respect to:
any suit or proceeding based on a claim that any data hosted by Go Big Event or any portion thereof infringes or constitutes wrongful use of any copyright, patent, trademark, trade secret or any other right of any third party; or
any suit or proceeding based on a claim related to the Customer’s customers using Go Big Event’s software; or
any suit or proceeding based on a claim related to business practices of the Customer in connection with the use of Go Big Event’s banking merchant accounts.
Conference Fees
All conference fees will be paid in Canadian dollars.
Governing Law
This agreement will be interpreted and enforced in accordance with the laws of the Province of Alberta, Canada without regard to choice of law principles.
